Proposed issue of securities - SIS

We are pleased to announce the proposed issue of 150,000,000 options, exercisable at $0.0035 and expiring on 31 December 2030. This issuance is subject to shareholder approval and will be part of the joint lead management fee for the Placement. The options are intended to be a form of partial consideration for services provided by Kaai Capital Pty Ltd and the Prenzler Group, our Joint Lead Managers.

The Proposed issue date is set for 29/8/2025, pending approval from shareholders on 27/8/2025. The options will be issued in three tranches of 50 million each, with exercise prices tied to specific 10-day VWAP milestones. The options are not for cash consideration and will be offered at a nominal issue price of $0.000001.
